Welcome to AfrikChat ("AfrikChat," "we," "our," or "us"). AfrikChat is a social networking and community platform operated by Afrikwave LLC, designed to connect the African diaspora and cultural community worldwide. By accessing or using our platform at https://afrikchat.com (the "Site"), you agree to be bound by these Terms of Service ("Terms"). Please read them carefully.

If you do not agree to these Terms, you must not access or use the Site.

1. Acceptance of Terms

By creating an account, logging in, or otherwise accessing AfrikChat, you confirm that you are at least 13 years of age (or the age of digital consent in your jurisdiction, whichever is higher), that you have read and understood these Terms, and that you agree to be legally bound by them. If you are using AfrikChat on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Service

AfrikChat provides a social networking platform that includes, but is not limited to: user profiles, news feeds, posts and stories, groups, pages, events, a marketplace, blogs, forums, crowdfunding tools, job listings, courses, and entertainment features. The platform is designed to foster community, commerce, and cultural connection for the African diaspora globally.

3. Account Registration

To access most features of AfrikChat, you must register for an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately at support@afrikchat.com if you suspect any unauthorized use of your account.

You may not create an account using a false identity, impersonate another person, or create multiple accounts for deceptive purposes. AfrikChat reserves the right to terminate accounts that violate these provisions.

4. User Conduct

You agree to use AfrikChat only for lawful purposes and in a manner that does not infringe the rights of others or restrict or inhibit anyone else's use of the platform. You must not:

  • Post, share, or transmit content that is unlawful, harmful, threatening, abusive, harassing, defamatory, obscene, or otherwise objectionable.
  • Upload or distribute viruses, malware, or any other harmful software.
  • Engage in spamming, phishing, or any form of unsolicited commercial communication.
  • Harvest or collect personal data of other users without their explicit consent.
  • Use automated tools, bots, or scrapers to access or collect data from AfrikChat without prior written permission.
  • Attempt to gain unauthorized access to any part of the platform or its underlying infrastructure.
  • Post content that promotes discrimination, hatred, or violence based on race, ethnicity, nationality, religion, gender, sexual orientation, disability, or any other protected characteristic.
  • Infringe upon the intellectual property rights of AfrikChat or any third party.

5. User Content

"User Content" means any information, text, images, videos, audio, or other material you post, upload, or transmit through AfrikChat. You retain ownership of your User Content. By posting User Content on AfrikChat, you grant us a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform your User Content in connection with operating and improving the platform.

You represent and warrant that: (a) you own or have the necessary rights to post your User Content; (b) your User Content does not violate these Terms or any applicable law; and (c) your User Content does not infringe any third-party intellectual property, privacy, or other rights.

AfrikChat does not endorse any User Content and expressly disclaims any liability in connection with User Content. We reserve the right, but not the obligation, to remove User Content that violates these Terms or that we find objectionable for any reason.

6. Marketplace and Transactions

AfrikChat provides a marketplace feature that allows users to list and purchase products and services. AfrikChat acts as a platform facilitator and is not a party to any transaction between buyers and sellers. We are not responsible for the quality, safety, legality, or availability of items listed in the marketplace, nor for the accuracy of listings, the ability of sellers to sell, or the ability of buyers to pay.

All marketplace transactions are subject to our Marketplace Policies, which are incorporated into these Terms by reference. Users engaging in marketplace transactions agree to resolve disputes directly with the other party in the first instance. AfrikChat may, at its discretion, provide dispute resolution assistance but is under no obligation to do so.

7. Crowdfunding and Funding Features

AfrikChat provides crowdfunding tools that allow users to raise funds for personal, charitable, or business purposes. AfrikChat does not guarantee that any funding goal will be reached. Campaign creators are solely responsible for the accuracy of their campaign descriptions and for fulfilling any commitments made to contributors. AfrikChat may charge a platform fee on funds raised, as disclosed in the platform's payment settings.

8. Intellectual Property

The AfrikChat platform, including its design, logos, trademarks, software, and all content created by AfrikChat (excluding User Content), is the exclusive property of Afrikwave LLC and is protected by applicable intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our platform or its content without our prior written consent.

The AfrikChat name, logo, and associated marks are trademarks of Afrikwave LLC. You may not use these marks without our prior written permission.

9. Privacy

Your use of AfrikChat is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using AfrikChat, you consent to the collection, use, and sharing of your information as described in the Privacy Policy.

10. Third-Party Services and Links

AfrikChat may contain links to third-party websites, services, or content. We do not control and are not responsible for the content, privacy practices, or terms of any third-party services. Your use of third-party services is at your own risk and subject to the terms of those services.

11. Disclaimers and Limitation of Liability

AfrikChat is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. We do not warrant that the platform will be uninterrupted, error-free, or free of viruses or other harmful components.

To the fullest extent permitted by applicable law, Afrikwave LLC and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of, or inability to use, AfrikChat, even if we have been advised of the possibility of such damages. Our total liability to you for any claims arising from these Terms or your use of AfrikChat shall not exceed the greater of (a) the amount you paid to AfrikChat in the twelve months preceding the claim, or (b) $100 USD.

12. Indemnification

You agree to indemnify, defend, and hold harmless Afrikwave LLC and its officers, directors, employees, agents, and successors from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of AfrikChat; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any rights of another person or entity.

13. Termination

We reserve the right to suspend or terminate your account and access to AfrikChat at any time, with or without notice, for conduct that we believe violates these Terms or is harmful to other users, us, third parties, or for any other reason at our sole discretion. Upon termination, your right to use AfrikChat will immediately cease.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of AfrikChat shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, conducted in English.

Nothing in this section shall prevent either party from seeking injunctive or other equitable relief in a court of competent jurisdiction where necessary to protect intellectual property rights or prevent irreparable harm.

15. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you by posting the updated Terms on the Site and updating the "Last Updated" date above. Your continued use of AfrikChat after any changes constitutes your acceptance of the new Terms. We encourage you to review these Terms periodically.
